Description
Request to authorize the City Manager, or the City Manager's designee, to execute an amendment to Agreement 144945 with Arcadis U.S., Inc. to provide additional Professional Services for the Cave Creek Water Reclamation Plant Electrical, Instrumentation and Control Systems Inspection and Testing Services Project. Further request to authorize execution of amendments to the agreement as necessary within the Council-approved expenditure authority as provided below, and for the City Controller to disburse all funds related to this item. The additional fee for services included in this amendment will not exceed $750,000.

Summary
The purpose of this Project is to improve the functionality, efficiency, and maintenance of electrical, instrumentation, and control systems. The City uses Electrical, Instrumentation, and Control System Inspection Testing Services to assist the engineer and contractor with projects related to the facilities and its various systems.
This amendment is necessary because the start of construction was delayed due to development in the area. The additional time is needed to maintain continuity of third party electrical, instrumentation, and control services throughout the duration of construction and the additional funding is needed for the increased period of service. This amendment will provide additional funds and time to the agreement.
Contract Term
The term of the agreement amendment is two years from the issuance of the Notice to Proceed. Work scope identified and incorporated into the agreement prior to the end of the term may be agreed to by the parties, and work may extend past the termination of the agreement. No additional changes may be executed after the end of the term.
Financial Impact
The initial agreement for Professional Services was approved for an amount not to exceed $935,000, including all subconsultant and reimbursable costs. This amendment will increase the agreement by an additional $750,000, for a new total amount not to exceed $1,685,000, including all subconsultant and reimbursable costs.
Funding for this amendment is available in the Water Services Department's Capital Improvement Program budget. The Budget and Research Department will separately review and approve funding availability prior to the execution of any amendments. Payments may be made up to agreement limits for all rendered agreement services, which may extend past the agreement termination.
Concurrence/Previous Council Action
The City Council approved:
- Professional Services Agreement 144945 (Ordinance S-43506) on May 10, 2017; and
- Professional Services Agreement 144945 Amendment (Ordinance S-50458) on January 3, 2024.
